The $70M Recall Changing Breast Biopsies and Private Equity Payouts
How a single recalled biopsy needle wiped out Hologic’s CVR growth target and triggered nationwide patient delays.

When Hologic pulled a single biopsy needle off the market, it set off two countdowns: one deciding a nine-figure payout for former shareholders, and another dictating how long a woman waits between an abnormal mammogram and a diagnosis.
When private equity firms Blackstone and TPG acquired Hologic for $18.3 billion on April 7, 2026, stockholders received $76 per share in cash alongside a Contingent Value Right (CVR)—a specialized financial instrument designed to reward former investors if Hologic’s core Breast Health division hits strict revenue targets.
To trigger the first payout in fiscal 2026, segment revenue must clear a baseline floor of $1,556,844,377, which unlocks a $0.50 per CVR distribution. Revenue reaching or exceeding $1,571,844,377 yields the maximum $1.50 payout, with any figure falling within that band determined via linear interpolation. These payout thresholds sit against a known operational baseline. Hologic reported Breast Health revenue of $369.1 million, $356.2 million, $365.2 million, and $393.7 million across the four quarters of fiscal 2025, bringing the full-year segment total to $1,484.2 million. Clearing the minimum CVR threshold requires roughly 4.9% annual growth—an additional $72.6 million in top-line revenue—while securing the full $1.50 requires approximately 5.9% growth.
Six weeks after signing the merger agreement, Hologic halted shipments of a core biopsy needle.
In November 2025, the company suspended distribution of the Brevera Breast Biopsy System Disposable 9 Gauge Needle following an internal review of post-market safety data. The review identified 108 complaints against 677,307 shipped units, confirming 16 instances where stainless steel or polyethylene fragments remained in patient tissue or biopsy specimens. On January 2, 2026, Hologic issued a customer letter removing all inventory from the market due to risks of foreign body reaction, hematoma, hemorrhage, and infection. The FDA formally posted a Class 2 recall on February 6, 2026.
The direct financial weight of the recall surfaced in Hologic’s regulatory filings in January. Revenue from Brevera 9 Gauge Needles and related products accounted for approximately 4.7% of Breast Health revenue in fiscal 2025—representing roughly $69.8 million in historical sales.
Setting the financial parameters side by side reveals a striking symmetry: clearing the initial CVR threshold required $72.6 million in new revenue growth, while the product line withdrawn from the market accounted for $69.8 million.
Hologic informed shareholders in January that achieving the 2026 milestone would be "more challenging" and noted that the risk-adjusted net present value of each CVR had fallen below the $2.54 estimate published in the proxy statement. For the first quarter of fiscal 2026, Hologic reported Breast Health revenue of $375.9 million, up 1.8% year over year. Maintaining the minimum CVR pace requires averaging $389.2 million per quarter, leaving Q1 approximately $13.3 million behind the required trajectory during a period when the shipment pause took effect mid-quarter.
The operational consequences quickly expanded from deal documentation into clinical practice.
On March 13, 2026, the FDA placed stereotactic breast biopsy needles on its Medical Device Shortages List. The American College of Radiology formally notified the FDA in May regarding widespread care disruptions. On June 16, the FDA issued a Letter to Health Care Providers confirming that manufacturing disruptions are expected to affect patient management through the first quarter of 2027, advising facilities to implement supply conservation strategies.
In clinical settings, conservation guidelines translate into rationing protocols, prioritizing urgent cases and delaying procedures for patients with lower-risk diagnostic findings. Hologic has responded by expanding manufacturing for its alternative Eviva needle line, enabling Brevera consoles to operate as standalone specimen radiography systems, and securing FDA 510(k) clearance for a modified Brevera needle, targeting a full return to market by late calendar 2026. However, because Eviva systems rely on different procedural protocols, device substitution requires operational adjustments for working radiology departments.
A significant information gap now emerges as fiscal 2026 closes in late September.
Following its private equity buyout and Nasdaq delisting, Hologic is no longer required to publish quarterly earnings releases or segment breakdowns. CVR holders will receive payout determinations privately through Equiniti Trust Company as rights agent, leaving former shareholders without secondary market pricing or public financial disclosures.
Consequently, two distinct countdowns reach critical junctures on separate schedules.
The private financial measurement window that governs a nine-figure transfer to former shareholders closes at the end of September 2026.
